22.3.2012, 7th Annual Conference on Capital Markets Law – Update Issuers Compliance
At the 7th Annual Conference on Capital Markets Law, which will be held in Vienna on 22 March 2012, Dr. Clemens Hasenauer will give a joint lecture with Dr. Robert Eichler, Vice President & Chief Compliance Officer at OMV Aktiengesellschaft, on recent developments in the field of Issuer Compliance. In particular, the two experienced practitioners will outline the draft of the new circular letter of the Austrian Financial Market Authority, the handling of compliance-relevant information, the functions and responsibilities of Compliance Officers and necessary adjustments to internal compliance guidelines.

20.4.2012, CFO-Forum 2012
At the "CFO-Forum 2012", which will be held in Stegersbach on 19 and 20 April 2012, Dr. Clemens Hasenauer will provide an overview of recent legal developments for CFOs. Recent developments in connection with compliance measures and new decisions concerning the liability of executive board members will be covered in particular, in addition to defensive measures against hostile takeovers and legal aspects of capital restructurings.

As speaker at the seminar "M&A – Legal and tax optimization", which will be held on 23 May 2012 in Vienna, Dr. Clemens Hasenauer, together with Univ. Prof. Dr. Hanns F. Hügel and tax advisor Edgar Huemer, will provide an overview of the legal and tax framework of M&A transactions. In addition to a legal and tax update on the structuring of transactions, the speakers will, in particular, analyze legal and tax pitfalls and by using a few specific examples, they will outline a number of ways in which the structure of M&A transactions can be optimized.

The part-time postgraduate masters programme at the Vienna University of Economics and Business lasts 14 months and offers students enrolled on the programme an attractive and demanding combination: on the one hand, it enables students to enhance their knowledge of commercial law, focussing on company law, banking and capital markets, and real estate. On the other hand, students are given an insight into key areas of business management and administration.
